Standard Terms and Conditions for ByteTide's Migration Services
These terms govern all data migration tasks performed by ByteTide ApS.
1. General
1.1. These terms govern all data migration tasks performed by ByteTide ApS for businesses, agencies, and other partners.
1.2. By ordering a service, the customer accepts these terms unless otherwise agreed in writing.
2. Prices and Quotes
2.1. All prices are stated in Danish kroner (DKK) and exclude VAT unless otherwise indicated.
2.2. Quotes are valid for 30 days from the date of issue.
2.3. ByteTide ApS may adjust prices in the event of significant changes to the data foundation, requirements specification, or other circumstances affecting the scope of the task.
2.4. Any third-party expenses, including API access, hosting, or other external infrastructure, will be invoiced separately unless otherwise agreed.
3. Payment Structure
3.1. Projects under 10,000 DKK:
- 100% payment at project start.
3.2. Projects over 10,000 DKK:
- 50% payment at project start.
- 50% payment upon delivery of first complete data transfer.
3.3. A project is considered initiated upon acceptance of the agreement and sending of invoice for the first installment.
4. Payment Terms
4.1. Standard payment term is 8 days net.
4.2. Reminder fee: 100 DKK per reminder (max. 3 reminders).
4.3. Late payment interest: 0.89% per month started after due date.
4.4. ByteTide ApS reserves the right to stop work in case of non-payment.
5. Delivery Terms
5.1. Delivery is considered complete when the full migration is made available in the customer's development environment or according to other agreed delivery format.
5.2. Errors or deficiencies resulting from inadequate, unstructured, or incomplete data from the customer are not covered by free corrections. Additional corrections, data cleansing, or extra data processing will be invoiced separately.
5.3. The customer is entitled to incremental data synchronization for up to 1 year after delivery in connection with launch, provided:
- that no changes are made to the existing data transformation logic, and
- that the data source is not significantly changed (structure, format, fields, etc.).
5.4. Delivery times are estimates and may vary depending on data quality, system availability, and customer response.
5A. Delivery Guarantee
5A.1. ByteTide ApS guarantees to deliver a functional migration in accordance with the concluded agreement.
5A.2. If ByteTide ApS does not deliver within the agreed delivery time plus a reasonable additional period of 14 working days, the customer is entitled to the following options:
- free remediation of all errors and deficiencies, or
- if deficiencies cannot be remedied: refund of up to 100% of the amount paid, proportional to the part of the delivery that was not performed.
5A.3. The guarantee does not apply in cases where delay or deficiencies are due to circumstances beyond ByteTide ApS' control, including – but not limited to – inadequate data, inaccessible APIs, third-party system failures, or other circumstances for which the customer is responsible.
5A.4. Payment of refund releases ByteTide ApS from further delivery obligations in the specific project.
6. Cancellation and Changes
6.1. Advance payment is not refunded after the project has been initiated.
6.2. Changes in scope after startup will be invoiced based on time spent or at a pre-agreed additional price.
6.3. ByteTide ApS may reject changes that significantly affect the project's nature or timeline, unless new terms are agreed upon in writing.
7. Limitation of Liability
7.1. ByteTide ApS cannot be held liable for losses resulting from inadequate, incomplete, or incorrect data provided by the customer.
7.2. ByteTide ApS is not liable for indirect losses, including loss of operation, loss of revenue, data loss, or lost profits.
7.3. ByteTide ApS' total liability can never exceed the amount the customer has paid for the specific service.
8. Confidentiality
8.1. The parties undertake to treat all exchanged information confidentially.
8.2. ByteTide ApS stores customer data securely and uses it solely in connection with the completion of the migration.
9. Disputes
9.1. Disputes are always sought to be resolved amicably between the parties.
9.2. If this is not successful, disputes will be resolved under Danish law at ByteTide ApS' venue.
